Where property is held through a company, trust or nominee, the name on the title is not the person who truly benefits. AML rules require agents and conveyancers to look through the structure to the natural person(s) who own or control it — typically a 25%-plus interest or effective control — and to verify and record them.
In the UK, overseas entities owning UK property must declare their beneficial owners on the Register of Overseas Entities at Companies House; without a valid Overseas Entity ID the Land Registry will not register a purchase or sale. Similar transparency registers are spreading internationally.
For legitimate buyers using a company or trust for valid estate-planning or privacy reasons, beneficial-ownership disclosure is a compliance step, not a barrier — but it must be done accurately and kept current, as penalties for false or missing filings are significant.
